What is the Power of sale in Ontario?
The power of sale is a remedy available to a mortgagee in the event that the mortgagor has defaulted on the mortgage. In contrast to foreclosure, the lender does not have to take the property back but rather may sell the property in order to recover the balance on the loan.
The homeowner remains the legal owner until the sale closes.
How the Process Runs
1. Default
The borrower misses payments, or breaches another term of the mortgage such as property taxes or insurance.
2. Notice of Sale
Almost every residential mortgage in Ontario contains a power of sale clause. Where it does, the default must have continued for at least 15 days before the lender can issue a Notice of Sale. Where the mortgage has no such clause, the statutory power applies instead: the lender must give 45 days' notice and cannot sell until three months after the default.
3. Who gets the notice
Not just the borrower. It must go to guarantors, subsequent mortgage holders, lien claimants and execution creditors, everyone with a registered interest in the property.
4. Redemption period
The lender cannot sell for at least 35 days after the Notice of Sale is given. Thirty-five days is the minimum, not the norm, and many notices run longer. During this window the lender is largely frozen and cannot take further enforcement steps without a court order.
5. Sale
If the default is not cured, the lender takes possession and lists the property. The lender has a legal duty to act in good faith and take reasonable steps to obtain a proper price.
6. Proceeds are distributed in a fixed order
Costs of sale first, then the mortgage debt, then subsequent mortgage holders and lien claimants by priority, then any surplus to the homeowner. If the sale does not cover what is owed there is no surplus, and the lender may pursue the borrower for the shortfall. This is the key difference from foreclosure.

Where value shows up is in condition and circumstance: no seller warranties, often vacant or needing work, and a smaller pool of buyers willing to accept those terms.
A different transaction process
These purchases are not usually faster. They run on the lender's internal approval process and offers can sit longer than with a private seller. What changes is the paperwork. The lender attaches its own schedule, which overrides much of the standard OREA form and typically removes representations and warranties about the property. Have a lawyer read that schedule before signing, not after.

Facing a Power of Sale on Your Own Home
The right to redeem does not end when the notice period does
Receiving a Notice of Sale does not mean the home is gone. Under the Mortgages Act the lender cannot sell for at least 35 days after serving the notice, and the right to pay out the mortgage and stop the sale generally continues past that period, up until there is a binding agreement of purchase and sale.

Power of Sale Questions, Answered
Is power of sale the same as foreclosure?
No. In a power of sale the lender sells the property to recover what it is owed and can pursue the borrower for any shortfall. In a foreclosure the lender asks a court for title to the property itself and generally gives up the right to sue for the balance. Power of sale is the standard remedy in Ontario.
How long does a power of sale take in Ontario?
Where the mortgage contains a power of sale clause, the lender must wait at least 15 days after default before issuing a Notice of Sale, then at least 35 more days before selling (Mortgages Act, s. 32). From first missed payment to a completed sale, three to six months is typical.
Who gets the money left over after a power of sale?

Is a power of sale the same as a bank sale?
In everyday use they usually mean the same thing. Bank sale is an informal label for a property being sold by a lender after default, which in Ontario is almost always done under power of sale. An estate sale is different: that is a property sold by an estate after the owner has died, not by a lender.
